Terms of Service
These Terms are a binding agreement between you and Haulmoore LLC, a Delaware limited liability company ("Haulmoore," "we," "us"), covering the TrueRPM mobile application and truerpm.app. By downloading, creating an account, or using TrueRPM, you accept them. If you don't accept them, don't use the app.
1. What TrueRPM is
TrueRPM is a calculator. It takes numbers you enter — gross linehaul, accessorial revenue, loaded miles, deadhead miles, tolls, pickup and delivery dates, cost per mile, and daily net goal — and returns arithmetic based on those numbers: total operational cost, net profit, net profit per day, true revenue per mile, a green/amber/red verdict, and a counter-offer amount.
It is not advice. TrueRPM does not provide financial, accounting, tax, legal, or business advice, and no output is a recommendation to accept or decline any load. Outputs are only as accurate as the inputs you provide. You are solely responsible for your rates, your load acceptance decisions, your negotiations with brokers and shippers, your bookkeeping, and your business outcomes. Verify any figure before you act on it.
2. Eligibility and your account
- You must be at least 18 and able to form a binding contract.
- You're responsible for keeping your login credentials secure and for everything done under your account.
- One account per person. Accounts are not transferable.
- Tell us at support@truerpm.app if you believe your account has been accessed without permission.
3. Subscriptions, billing and auto-renewal
TrueRPM offers a free tier and a paid Premium subscription.
3.1 How billing works
- Premium is offered on a monthly or annual basis. The exact price, currency, and billing period are shown before you confirm, and that displayed price governs.
- Payment is processed by Google Play Billing (or the Apple App Store on iOS). Your subscription is also governed by that store's terms. We do not receive or store your payment card details.
- Payment is charged to your store account on confirmation of purchase.
3.2 Auto-renewal — read this part
- Premium renews automatically at the end of each billing period at the then-current price, and continues renewing until you cancel.
- Your store account is charged for renewal within 24 hours before the end of the current period unless auto-renew is turned off before then.
- To cancel: Google Play → profile icon → Payments & subscriptions → Subscriptions → TrueRPM → Cancel subscription. On iOS: Settings → your name → Subscriptions. Cancelling in the app store is the only way to stop future charges; deleting the app does not cancel a subscription.
- Cancelling stops the next charge. You keep Premium access through the end of the period you have already paid for.
- If we change the subscription price, we will give you notice before the change applies to your renewal, and you may cancel before it takes effect.
3.3 Refunds
Refunds are handled by the store that processed your payment, under that store's refund policy — we can't issue them directly for store purchases. If something is genuinely broken on our end, email support@truerpm.app and we'll help you pursue it with the store. Except where required by law, fees are otherwise non-refundable and partial periods are not prorated.
3.4 Free tier
The free tier's limits (currently five load calculations per day) may change as the product develops. We won't retroactively remove features you've already paid for during a paid period.
4. Acceptable use
Don't do these things:
- Reverse engineer, decompile, or attempt to extract the source code or calculation logic, except where that restriction is unenforceable by law.
- Resell, sublicense, white-label, or provide TrueRPM as a service to third parties without a written agreement from us.
- Scrape, bulk-download, or programmatically access the service outside the app.
- Abuse the referral program — including self-referral, fabricated accounts, or automated code generation. We may void referral credits and close accounts obtained this way.
- Interfere with the service's security or availability, or use it to break the law.
5. Your data and your content
The freight figures you enter are yours. You grant us a limited licence to store, process, and transmit them solely to operate the service for you — for example, to sync your baseline across your devices and generate your dispatch history. We do not sell your data and we do not disclose it to brokers or load boards. See the Privacy Policy for the full picture, including how to delete everything.
6. Our intellectual property
TrueRPM, the TrueRPM name and logo, the app, the website, and the underlying calculation logic and interface are owned by Haulmoore LLC and protected by intellectual property law. These Terms grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the app for your own trucking business. Nothing else transfers.
7. Availability and changes
We may modify, suspend, or discontinue features at any time. We aim for continuous availability but do not guarantee it — the app depends on third-party infrastructure and on your device. Offline calculation is designed to keep the core function working without connectivity, but sync, purchase, and account features require a connection.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HAULMOORE LLC DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY CALCULATION, ESTIMATE, VERDICT, OR COUNTER-OFFER FIGURE WILL BE ACCURATE OR WILL RESULT IN PROFIT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HAULMOORE LLC AND ITS OWNERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST FREIGHT OPPORTUNITY, DAMAGE TO REPUTATION, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
10. Indemnity
You agree to indemnify and hold harmless Haulmoore LLC from claims, damages, and reasonable legal fees arising from your misuse of the service, your violation of these Terms, or your violation of any law or third-party right.
11. Termination
You may stop using TrueRPM at any time and delete your account at truerpm.app/delete-account. We may suspend or terminate an account that violates these Terms, or that we reasonably believe is engaged in fraud or abuse — where practical, with notice and an opportunity to fix it. Sections 5, 6, 8, 9, 10 and 12 survive termination.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, and you consent to personal jurisdiction there.
Before you file anything: email support@truerpm.app with a description of the dispute. Most things get resolved in a day. Both sides agree to attempt informal resolution in good faith for 30 days before starting a formal proceeding. Either party may bring an individual claim in small claims court.
13. Apple and Google
Where you obtain TrueRPM through the Apple App Store, you acknowledge that these Terms are between you and Haulmoore LLC only, not Apple; that Apple has no obligation to provide support for the app; and that Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you. Equivalent terms apply to Google in respect of Google Play.
14. General
- Changes. We may update these Terms. Material changes will be posted with a new effective date and notified in the app before taking effect. Continued use after that means acceptance.
- Severability. If a provision is unenforceable, the rest stays in force.
- No waiver. Not enforcing a provision once doesn't waive it.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the service.
- Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
